NON-COMPETITION AGREEMENT

and

hereinafter in this agreement collectively referred to as “the Parties” and individually – as “the Party”, taking into account that:

The Seller [description of seller’s business model];

The Seller wishes to protect its business interests and its own suppliers from direct trade with the Buyer, and consequently, loss of business income;

The Parties have concluded this non-competition agreement (hereinafter – “The Agreement”):

DEFINITIONS

“Suppliers” – suppliers of [description of supplied goods] that supply such goods to the Seller. The detailed list of Suppliers shall be indicated in Annex 1 of this Agreement. Annex 1 may be appended by separate agreement of the Parties;
